The scope, deliverables, timeline, and fees for each engagement are set out in a written
service agreement or proposal agreed prior to commencement of work. Fusion IMC reserves
the right to decline any engagement at its sole discretion.
We make no guarantee of specific media placements, follower growth, engagement rates,
or other outcome metrics unless expressly stated in a written service agreement.

Client Obligations
Where Fusion IMC is engaged to provide Services, the client agrees to:

Provide accurate, complete, and timely information, materials, and approvals necessary for
delivery of the agreed Services
→
Designate an authorised representative to liaise with Fusion IMC
→
Ensure that all materials provided to Fusion IMC do not infringe the intellectual property or
other rights of any third party
→
Review and provide feedback on deliverables within the timeframes specified in the service
agreement
→
Pay all invoices in accordance with the agreed payment terms
→
Notify Fusion IMC promptly of any material change to the client's business, brand guidelines,
or strategic priorities
Delays caused by a client's failure to meet these obligations may result in revised timelines or
additional fees, which will be communicated in advance.

Fees & Payment
Unless otherwise agreed in writing:

Retainer fees are invoiced monthly in advance at the start of each calendar month
→
Project fees may require a deposit of up to 50% prior to commencement, with the balance
due upon completion or at agreed milestones
→
Invoices are payable within 14 days of the invoice date
→
Late payments may incur interest at 1.5% per month on the outstanding balance,
compounded monthly
→
All fees are quoted in United States Dollars (USD) unless otherwise specified
→
Fees are exclusive of applicable taxes and third-party out-of-pocket expenses (such as
media spend, printing, or event costs), charged at cost unless included in an agreed budget
Fusion IMC reserves the right to suspend Services where invoices remain unpaid beyond 30 days of the due date, without prejudice to our right to recover outstanding amounts.

Confidentiality
Both parties acknowledge that in the course of an engagement, each may receive confidential
and proprietary information ("Confidential Information") belonging to the other. Each party
agrees to hold such information in strict confidence, use it solely for the purposes of the
engagement, and not disclose it to any third party without prior written consent.
These obligations do not apply to information that is or becomes publicly available other than
through breach of these Terms, was already known to the receiving party, or is required to be
disclosed by law.
Confidentiality obligations survive termination of any service agreement for a period of
3 years.
Portfolio use: Unless a client requests otherwise in writing, Fusion IMC reserves the right to
reference the client relationship and describe the nature of work performed (without
disclosing confidential details) in our portfolio and new business materials. Detailed case
studies will only be published with the client's prior written approval.

Warranties & Disclaimers
Fusion IMC warrants that we have the right and authority to enter into service agreements,
will perform Services with reasonable skill and care, and that work product will not — to the
best of our knowledge — infringe the intellectual property rights of any third party.
The Site and its content are provided on an "as is" and "as available" basis without
warranties of any kind, express or implied. We do not warrant that the Site will be
uninterrupted, error-free, or free of viruses or other harmful components.
Fusion IMC does not guarantee specific outcomes, results, media placements, or commercial
performance from any campaign unless expressly stated in a written service agreement.

Limitation of Liability
To the maximum extent permitted by applicable law, Fusion IMC's total aggregate liability for
any claim arising out of or in connection with these Terms, the Site, or any Services shall not
exceed the total fees paid by you to Fusion IMC in the three months immediately preceding
the event giving rise to the claim.
In no event shall Fusion IMC be liable for:

Loss of profits, revenue, or anticipated savings
→
Loss of business, contracts, or opportunities
→
Loss of goodwill or reputational damage
→
Any indirect, special, consequential, or punitive damages
→
Damage caused by third-party platforms or services outside our control
Nothing in these Terms limits or excludes our liability for fraud, death or personal injury
caused by our negligence, or any other liability that cannot be excluded or limited by law.

Indemnification
You agree to indemnify and hold harmless Fusion IMC and its officers, employees, contractors,
and agents from and against any claims, damages, losses, costs, and expenses (including
reasonable legal fees) arising out of or relating to:

Any content or materials you provide to Fusion IMC that infringe the rights of any third party
or are inaccurate or misleading

Your breach of any applicable law or regulation

Any claim by a third party arising from your use of deliverables outside the agreed scope or

Termination
Either party may terminate a service agreement in accordance with the notice provisions set
out in that agreement. In the absence of a specific agreement, either party may terminate an
engagement by providing 30 days' written notice.
Fusion IMC may terminate immediately and without notice where a client fails to pay any
invoice more than 30 days overdue, acts in a way that is unlawful or in material breach of
these Terms, or where continuing the engagement would require us to act contrary to
applicable law.
Upon termination, the client shall pay all fees accrued and expenses incurred up to the date
of termination. Provisions that by their nature should survive termination — including
confidentiality, intellectual property, and limitation of liability — shall continue to apply.

Third-Party Services
In delivering Services, Fusion IMC may engage or recommend third-party platforms, vendors,
or media outlets. We are not responsible for the performance or practices of any third party,
including social media platforms, media organisations, advertising networks, or event
organisers. Any third-party costs will be disclosed in advance and agreed before being
incurred on a client's behalf.

Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of The
Commonwealth of The Bahamas. In the event of a dispute, the parties agree to first attempt
resolution through good-faith negotiation. If unresolved within 30 days of written notice,
either party may refer the matter to the courts of The Commonwealth of The Bahamas, which
shall have exclusive jurisdiction.

Changes to These Terms
Fusion IMC reserves the right to update these Terms at any time. When we do, we will revise
the "Last Updated" date above. Your continued use of the Site or engagement with our
Services after any changes constitutes your acceptance of the revised Terms.

Upon termination, the client shall pay all fees accrued and expenses incurred up to the date of termination. Provisions that by their nature should survive termination — including confidentiality, intellectual property, and limitation of liability — shall continue to apply.

Third-Party Services
In delivering Services, Fusion IMC may engage or recommend third-party platforms, vendors, or media outlets. We are not responsible for the performance or practices of any third party, including social media platforms, media organisations, advertising networks, or event organisers. Any third-party costs will be disclosed in advance and agreed before being incurred on a client's behalf.

Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of The
Commonwealth of The Bahamas. In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days of written notice, either party may refer the matter to the courts of The Commonwealth of The Bahamas, which shall have exclusive jurisdiction.

Fusion IMC reserves the right to update these Terms at any time. When we do, we will revise
the "Last Updated" date above. Your continued use of the Site or engagement with our Services after any changes constitutes your acceptance of the revised Terms.
